Website Rental - TERMS AND CONDITIONS OF TRADE & PRIVACY POLICY

Effective Date: 1st July 2025

By using our website rental services, you agree to these Terms of Service and Privacy Policy. Please read them carefully.

1. Definitions & Interpretation

1.1 “Supplier,” “we,” or “us” refers to [Your Business Name], including our successors and assigns.
1.2 “Client,” “you,” or “your” refers to the Client purchasing website services from us or any person acting on your behalf.
1.3 “Services” refers to all services we provide, including website design, development, UX/UI, content creation (excluding high-quality images, videos, and other multimedia), eCommerce setup, and minimal SEO.
1.4 “Agreement” refers to these Terms & Conditions, our Privacy Policy, and any related schedules or amendments.
1.5 “Cookies” are small files used to enhance your website experience, which you can disable.
1.6 “Website” refers to the website we build and provide to you under this agreement, hosted and built on the Squarespace, Webflow or Framer platforms.
1.7 “Mini eCommerce Rent to Own Plan” means the plan where you may acquire ownership after completing 24 consecutive months of rental payments.
1.8 “Essentials Plan” and “Business Plan” mean plans that are rental-only and do not include ownership transfer.

2. Scope of Services

2.1 We provide full-service website development on Squarespace, Webflow or Framer , including the design and creation of your website, UX/UI, some basic content (like text, icons and images), and minimal SEO.
2.2 High-quality, brand-specific images, videos, and additional multimedia must be provided by you.
2.3 We will deliver a fully functional website. Unless you complete the Mini eCommerce Rent to Own term, you will not own the underlying code or design.
2.4 For the Mini eCommerce Rent to Own Plan, after 24 consecutive monthly payments, ownership of your website will transfer to you. We will also provide up to 10 hours of training to help you manage your website independently.
2.5 The Essentials and Business plans are strictly rental agreements. No ownership transfer applies, regardless of the duration of your subscription.

3. No Transfer of Website

3.1 The website, including design, code, icons, and all associated materials (such as images, text, and content), remains the sole property of [Your Business Name] unless ownership is explicitly granted under the Mini eCommerce Rent to Own Plan.
3.2 If you cancel your rental agreement, you will not receive any of the website’s content (text, images, etc.) or the underlying code. The content and code remain the property of [Your Business Name] and will not be transferred under any circumstances.
3.3 You cannot transfer the website to another platform or make use of the design, code, or any other content created for any purpose beyond what is allowed under this agreement.
3.4 If you cancel your Mini eCommerce Rent to Own Plan and later rejoin, your 24-month term resets from the date you restart. No previous payments are credited towards the new term.
3.5 For clarity, ownership transfer is only available under the Mini eCommerce Rent to Own Plan. All other plans remain rental-only with no ownership transfer.

4. Intellectual Property

4.1 All intellectual property rights, including design, code, fonts, icons, images, and branding associated with the website, remain the property of [Your Business Name].
4.2 You may not use the website’s design, code, or other content created by us on any other platform or alter them for any purpose beyond what is permitted under this agreement.
4.3 By renting the website, you acknowledge you are granted only a license to use the website under this agreement. No intellectual property rights are transferred unless ownership is explicitly granted after completing the Mini eCommerce Rent to Own term.
4.4 After ownership transfer, you will be responsible for managing your website and paying ongoing Squarespace, Webflow or Framer subscription fees (which are billed directly by them and may change).

5. Price and Payment

5.1 The price for services is specified at the time of purchase. All payments are billed in advance, either monthly or annually, depending on your chosen plan.
5.2 Payments are non-refundable. You may cancel your service at any time with 7 days’ written notice, but no refunds will be issued for unused days or months.
5.3 You are renting the website for the agreed term. If you cancel, you will not receive any website code or associated materials.
5.4 If you cancel your Mini eCommerce Rent to Own Plan within the first 12 months, you will forfeit eligibility for any free domain included in your plan and agree to pay a $50 NZD domain registration fee to cover domain costs incurred on your behalf.
5.5 Our fees are separate from any fees charged by Squarespace, Webflow, Framer, Stripe, or other third-party providers. If you request additional features or integrations not included in your plan, these may incur extra costs from third parties. We will always communicate these fees to you in advance, and they will only be added to your agreement with your consent.
5.6 Stripe transaction fees are not included in your plan. Stripe charges its own fees per transaction (for example, 2.9% + 30¢ per successful domestic card payment). We are not affiliated with Stripe. We simply use their services to build your website and process your payments.

6. Termination and Cancellation

6.1 You may cancel this agreement at any time, but no refund will be issued for unused time.
6.2 We reserve the right to suspend or terminate service if payments are not received or if there is any breach of this agreement.
6.3 Upon cancellation, you will not receive any website code or content.
6.4 If you cancel the Mini eCommerce Rent to Own Plan, any entitlement to ownership of the website is void. If you rejoin later, your 24-month term restarts.
6.5 We reserve the right to suspend or cancel services if you misuse the platform or breach third-party Acceptable Use policies (including those of Squarespace, Webflow , Framer and Stripe).

7. Website Usage and Restrictions

7.1 The website, including all design, content, and code, is provided solely for your business use under this agreement.
7.2 You may not transfer, copy, or use the website’s design, code, or intellectual property beyond the scope of this agreement.
7.3 After ownership transfers under the Mini eCommerce Rent to Own Plan, you are fully responsible for managing and maintaining your website, including compliance with privacy, tax, and consumer protection laws.

8. Limitation of Liability

8.1 We are not responsible for any damages or losses arising from your use of the website, including any third-party errors, outages, or failures.
8.2 Our liability is limited to the amount you have paid for our services.
8.3 We are not responsible for any costs, disputes, or losses caused by changes to Squarespace, Webflow, Framer, Stripe, or any other third-party services or fees.
8.4 We do not guarantee any business results, sales, or revenue from your website.

9. Governing Law

9.1 This agreement is governed by the laws of New Zealand, and any disputes are subject to the exclusive jurisdiction of New Zealand courts.

10. Amendments

10.1 We may update these Terms and Conditions periodically. Any changes will take effect once posted on our website. You will be notified of any material changes.
